QuoteCapture / PropertyWorkHQ Platform Terms
These terms govern provider-network, work-routing and related Platform functionality. Providers remain independent field-service businesses; QuoteCapture is the technology/network coordinator.
Platform Operator: identified at enrollment. These terms are designed for the Platform's coordinator/marketplace role and remain subject to non-waivable law and final counsel-approved production configuration.
1. Parties, acceptance and authority
These Platform Terms govern QuoteCapture, PropertyWorkHQ and related network functionality (the Platform) operated by the Platform Operator identified at enrollment. If you accept for a company, property owner, manager or service business, you represent that you have authority to bind that organization. Role-specific notices, the Privacy Notice, Provider Rules and fee terms displayed at enrollment or opportunity acceptance are incorporated where applicable.
2. Platform role — independent technology, not the field contractor
The Platform provides intake, identity and compliance records, matching, routing, scheduling, communications, approvals, evidence and administrative workflow. Unless a separate signed agreement expressly says otherwise, the Platform does not perform repair, construction, maintenance, restoration, hauling, inspection or other field services. The customer/PM engages the selected independent Provider directly. Providers control and remain responsible for lawful means, methods, personnel, supervision, permits, taxes, safety, pricing, warranties, damage and service performance.
3. Accounts, security and accurate information
Users must provide accurate current information, protect credentials and signed links, and promptly report unauthorized access. Access may be scoped by organization, property, unit, job, role, technician and expiration. The Platform may suspend fraudulent, unsafe, unauthorized or noncompliant activity.
4. PM/customer responsibilities
Property managers, owners and facility operators must have lawful authority for submitted properties and service requests; provide accurate property, resident, owner, access and approval information; configure and honor approval/NTE and emergency policies; satisfy owner/tenant notice and entry obligations; identify additional provider requirements they choose to impose; and not direct unlawful or unsafe work.
5. Provider responsibilities
Providers must be legitimate businesses authorized for offered services; hold required licenses, registrations, permits, insurance and certifications; keep Provider Passport information current; use qualified authorized personnel; follow safety, employment, tax, environmental and trade law; perform professionally within accepted scope and approvals; use change-order workflows before exceeding authorized scope/amount when required; and remain responsible for warranties, callbacks, damage and personnel/subcontractor conduct. A provider must stop accepting affected work when a required credential or coverage is suspended, expired or unavailable.
6. Provider Passport and compliance matching
Provider Passport combines provider-supplied evidence, public/third-party sources and verification processes. An Eligible result means the Platform's current rules found no blocking requirement from information available at that time. It is not legal advice, a warranty, or a promise that no additional local permit or requirement exists. The Platform may re-check eligibility at routing, acceptance and award and may place uncertain cases into manual review.
7. Work orders, approvals and changes
The Platform may record issue details, property context, access, scope, schedule, price/NTE, approvals and evidence. Material scope, price or timing changes should use the applicable change-order/approval workflow. Platform controls may block final amounts above approved amounts unless an authorized change or exception exists.
8. Emergency requests
A resident emergency flag requests urgent PM attention; it does not by itself authorize paid provider dispatch. Unless the PM has configured another lawful policy, resident emergency reports route to the PM/on-call workflow first. The Platform is not an emergency-response service. Immediate threats to life, fire, gas, crime or similar emergencies should be directed to appropriate local emergency services/utilities.
9. Job communications and electronic evidence
Authorized PM users, Providers, residents and Platform operators may use job-scoped messaging. Participants consent to electronic delivery and storage of work-related messages, attachments, timestamps, delivery metadata, actor identity, corrections and system events for operational, audit, security, dispute and legal purposes subject to applicable law and the Privacy Notice. Tamper-evident hashing/signing can indicate whether retained evidence changed; it does not guarantee records are impossible to alter or determine legal admissibility by itself.
10. Workforce and secure property access
Providers are responsible for employees and authorized subcontractors they assign. PMs are responsible for lawful authority to provide entry instructions, keys, lockbox/smart-lock credentials, gate/alarm information and permission-to-enter directives. Providers must restrict access information to authorized personnel and use it only for the assigned job. The Platform may encrypt, time-limit, revoke and audit access-secret disclosure, but cannot guarantee that properties, locks, third-party systems, user devices or credentials cannot be compromised.
11. Residents
Resident functionality is property/job scoped. Residents may submit truthful maintenance information, access preferences, scheduling communications and resolution/reopen reports. Residents do not receive PM portfolio administration, provider scoring or commercial fee data. Abuse of emergency labels, harassment, fraud or unauthorized access may be restricted and referred to the PM.
12. Provider selection; no guaranteed work or availability
Eligibility and ranking may consider service fit, verified credentials, geography, availability, capacity, PM preferences, response history and quality evidence. No provider is guaranteed opportunities or awards, and no PM/customer is guaranteed provider availability, response time, price or outcome.
13. Commercial provenance and fees
Provider membership may be free while QuoteCapture-sourced opportunities may carry a disclosed success-fee policy snapshot. Pre-existing PM/provider relationships designated and preserved as such carry no QuoteCapture acquisition percentage under the current policy. Opportunity acceptance records the applicable policy version and rate snapshot. Exact billable-event, repeat-relationship and payment-rail mechanics apply only when activated by separately versioned commercial terms; they are not created merely by these Platform Terms. Users may not deliberately falsify relationship origin or job facts to evade valid disclosed fees.
14. Incidents, disputes and service recovery
The Platform may provide workflows for no-shows, workmanship concerns, property damage, safety/access concerns and other incidents. These workflows facilitate documentation and coordination; they do not make the Platform the field contractor, insurer, arbitrator or guarantor of remediation. Providers remain responsible for their work and personnel; PMs remain responsible for property-side authority and obligations.
15. Integrations and external systems
Authorized integrations may import/export scoped property, unit, resident, vendor and work-order information. Users are responsible for having authority to connect external systems and for the accuracy of source data. External systems remain governed by their own terms. Integration access can be revoked, rate-limited or restricted for security or compliance reasons.
16. Acceptable use
Do not submit unlawful content, impersonate others, bypass access controls, scrape or resell restricted data, interfere with the Platform, falsify credentials/evidence, use work communications for harassment or unrelated marketing, or use property-access secrets outside their authorized purpose.
17. Suspension, offboarding and records
The Platform may revoke sessions, offers, integration credentials and property access when relationships end or safety/compliance requires it. Historical audit, security and commercial-provenance evidence may be retained where reasonably necessary or legally required; other information is subject to the Privacy Notice and retention policy. Active real-world jobs may require an orderly transition rather than silent deletion.
18. Disclaimers and allocation of responsibility
To the maximum extent permitted by applicable law, the Platform is provided on an “as available” basis and does not warrant provider availability, legal qualification, uninterrupted operation, pricing, workmanship, property condition, payment, schedules or outcomes. Automated compliance matching is an operational control, not a legal opinion. Nothing in these Terms excludes rights or duties that cannot lawfully be waived.
19. Liability and indemnity framework
Any limitation of liability, indemnity, governing-law, venue or dispute-resolution provisions activated for paid production use will be those in the counsel-approved version identified in the acceptance record or applicable order terms. Non-waivable law controls. Nothing here is intended to exclude liability where exclusion is prohibited by law.
20. Changes and electronic acceptance
Material changes use a new agreement version. The Platform may require renewed acceptance before sensitive or operational actions continue. Electronic acceptance records may include role, organization/provider, agreement version, timestamp and privacy-safe request evidence. Continued access alone does not substitute for a required versioned clickwrap where the Platform expressly requires acceptance.
